MEMORANDUM TO V. M. MIKHAILOV, WITH A DRAFT RESOLUTION OF THE CENTRAL COMMITTEE OF THE RCP(b) ON THE QUESTION OF AN AGREEMENT WITH THE RUTGERS GROUP

Comrade Mikhailov!
I am enclosing the Rutgers Group’s response to the decision of the Council of Labour and Defence (i.e., the decision of the Central Committee). In my view, this amounts to an acceptance of our terms.
Accordingly, I am attaching a draft resolution of the Central Committee and request that it be circulated among the members of the Politburo as soon as possible—urgently, in fact.

In light of the fact that the initiative group (Comrades Rutgers, Heywood, and Calvert) has accepted the terms set forth in the Council of Labour and Defence’s decision of October 17, the Central Committee resolves—and instructs the Council of Labour and Defence to resolve—that:
The Council of Labour and Defence resolves:
1) To deem the agreement with the group to have been concluded;
2) To instruct Comrade Bogdanov to immediately prepare and submit for signature by the Presidium of the Council of Labour and Defence a telegram containing the most urgent directives regarding the commencement of timber procurement, forest harvesting, and the like;
3) To task the Presidium of the Supreme Council of National Economy with, within a two‑day period, drafting the final text of the amended agreement, to be submitted for approval by the Council of Labour and Defence on Friday, October 21, 1921;
4) To disburse $5,000* to Comrade Rutgers on Saturday, October 22, in accordance with the contract, immediately following its approval by the Council of Labour and Defence on October 21.
Furthermore, without formally recording this as a decision of the Council of Labour and Defence, the Central Committee also instructs both Comrade Bogdanov and the Kuibyshev Commission,

as well as the Council of Labour and Defence, to amend the agreement in such a way that: (1) the Council of Labour and Defence retains the right to participate in the selection of additional candidates for the “Organizing Committee,” subject to final approval of this list; (2) the total sum of all expenditures incurred by the Soviet authorities does not exceed $300,000; and (3) in the event of termination of the agreement, the Soviet authorities shall bear no financial obligations whatsoever—or, at most, only those obligations that are deemed lawful by the courts of the RSFSR or by the Central Executive Committee of the RSFSR.
